Ms. Chow was called to the Singapore Bar in 2016. Before joining Han Kun in 2024, Ms. Chow practiced as a corporate and regulatory lawyer at a prestigious international law firm. Her work covers a wide range of corporate transactions, with particular focus on M&As, funds and financial services regulation, and equity capital markets.
Ms. Chow has acted for private equity clients, private companies, and listed companies, including state-owned fund clients, in their various M&A and private equity transactions. Her M&A experience spans a large variety of sectors, with a particular focus on tech-related M&A deals. She has overseen key acquisitions in the tech industry, which has enabled her to be at the forefront of industry developments. She has overseen many complex transactions involving novel commercial and regulatory issues, which has given her a bird's eye view of many new and exciting developments in areas of rapid growth and development. Some of the issues which she has had experience in advising includes coin offerings during its infancy and issues surrounding payment services at the inception of the payment services regulations (e.g. e-commerce solutions, merchant acquisitions, and e-money issuances). Typically, her assistance with the transaction will include advising on the sale structure, conducting and/or facilitating the due diligence review on the target entity/group, drafting and negotiating the transaction documents, liaising with foreign counsels or other experts on other areas of practice as needed (such as warranty and indemnity insurers / brokers, intellectual property, tax, competition law, etc.), advising the client on their liability under any W&I insurance policies, and attending to the closing of the transaction.
Ms. Chow's licensing and regulatory work include advising clients on the regulatory requirements under the Securities and Futures Act, Payments Services Act, Financial Advisors Act and the relevant subsidiary legislation, financial services-related license applications (including capital markets services (CMS), payment services, trust and custodian services, insurance brokerage companies, and financial advisory), ongoing licensing obligations and regulated transactions such as initial coin offerings.
Ms. Chow has also closely assisted fund managers on various issues in the lifespan of a fund, from fund formation and structuring, launching of the fund (including preparing the relevant fund documents, whether the fund is set up by way of a variable capital company (VCC), limited partnership and/or private limited company), and assisting with the fund's downstream investments to closing down the fund.
Ms. Chow's work experience in equity capital market transactions mainly entails advising both listed companies and companies seeking to list. Typically her work will involve advising on the continuing listing obligations of listed companies and, in the case of companies seeking to list, includes leading and conducting the due diligence review on the listing group, liaising with foreign counsels where required, advising on the legal and listing requirements in connection with a listing exercise (to both the listing group and issue manager), conducting directors' refresher training and verification meeting on the contents of the prospectus, as well as preparing all the relevant documentation and attending to submission, lodgement, and registration of the prospectus.
