2017-04-06
On March 29, 2017, Prof. Marcus Cole and students from the Comparative Venture Capital-China course at Stanford Law School visited Han Kun Law Offices. Together with the partners and lawyers of Han Kun Law Offices, they carried on a lively discussion on venture capital in China from the different perspectives of U.S. and China's legal practice.
Han Kun partner Li Zhuowei (Joyce) first welcomed the arrival of Prof. Marcus Cole and students on behalf of Han Kun Law Offices, and then briefly introduced Han Kun's firm history, practice areas, attorneys and recent achievements.
Prof. Marcus Cole then briefly introduced the delegation members and the Comparative Venture Capital-China course, and illustrated the main purpose and significance of the China trip.
Han Kun partner Sheng(Sean) Li and consultant Charles Wu presented a lecture entitled "VC Practice in China" to the delegation. Sean first summarized the current situation of the VC legal services market in China, including fund formation services, investment-related services, and exit-related services. In addition, he gave a basic introduction of typical cases in which Han Kun has participated on behalf of domestic and foreign clients, along with the latest trends in the VC market in China. Charles Wu then proceeded to analyze and explain specific VC transaction terms and compared different terms in China and the United States.
After the lecture, Prof. Marcus Cole and students from Stanford Law School asked questions and communicated with Han Kun partners and lawyers on practical issues, such as VIE structures, mergers and acquisitions, company listings and VC/PE financings. Han Kun partner Mr. Chaoying Li also participated in the session and shared his insights with the audience.
This is the third time that Prof. Marcus Cole and his students have visited Han Kun Law Offices, and we all hope to have more contact and positive interactions in the future.
