Han Kun and its Hong Kong Associate Law Firm Represent Jetsen Technology in Acquiring 20% of Auro Technologies

BEIJING JETSEN TECHNOLOGY Co. Ltd. (SZSE Stock Code: 300182) ("Jetsen Technology") has recently completed its acquisition of a 20% equity interest in Auro Technologies. Auro Technologies is a company headquartered in Belgium and is principally engaged in the business of creating, developing, producing and commercializing hardware and software relating to the technology of encoding, decoding, transforming and/or enhancing 1-, 2- and 3-dimensional digital sound formats. Auro Technologies provided its 3D immersion sound technology services to the 2016 CCTV Spring Festival Gala.

Jetsen Technology has become the second largest shareholder of Auro Technologies in this acquistion by acquiring a 20% equity interest in Auro Technologies from Auro Holdings, Auro Technologies’ largest shareholder, for consideration not to exceed US $28,000,000.

Han Kun and its Hong Kong associate law firm provided legal services in the form of conducting general corporate legal due diligence reviews and intellectual property legal due diligence reviews of Auro Technologies, drafting, reviewing and revising the transaction documents and participating in various negotiations, assisting in the closing process and providing general legal consultancy services in relation to the acquisition.
