Han Kun represented Hong Kong Mandefu Holding Limited in its share exchange and business combination with TM Entertainment and Media, Inc.

Business Combination between Hong Kong Mandefu Holding Limited (the "China MediaExpress") and TM Entertainment and Media, Inc. (the "TM Entertainment", AMEX: TMI)

Han Kun represented China MediaExpress, which operates the largest television advertising network on inter-city express buses in China, in its share exchange and business combination with TM Entertainment, a special purpose acquisition company listed on AMEX in the US. Han Kun primarily assisted in structuring the deal combination, preparing the transaction documents and reviewing the Proxy Statement on Form Schedule 14A filings with SEC. Han Kun also issued the PRC legal opinions for the combination deal. The Definitive Proxy Statement filing with SEC became effective on October 5, 2009, and the business combination closed on October 15, 2009.
