Share Exchange between China Net Online Media Group Limited ("China Net") and Emazing Interactive, Inc. ("Emazing", OTCBB: EMZG)

Han Kun advised China Net, a leading full-service media development and advertising platform that leverages proprietary advertising technology to prepare and publish rich media enabled advertising campaigns for clients on the Internet and on television, on its share exchange with Emazing, a Nevada corporation publicly traded on OTCBB in the US. The related parties entered into a Share Exchange Agreement on June 26, 2009. Han Kun primarily assisted in the design of transaction structure, prepared some transaction documents and issued the PRC legal opinion.
