Share Exchange between Hong Kong Mandefu Holding Limited (the "China MediaExpress") and TM Entertainment and Media, Inc. (the "TM Entertainment", AMEX: TMI)

Han Kun represented China MediaExpress, which operates the largest television advertising network on inter-city express buses in China, in its proposed share exchange with TM Entertainment, a special purpose acquisition company listed at AMEX in the US. The related parties entered into a Share Exchange Agreement on May 1, 2009. Han Kun primarily assisted in the design of transaction structure and preparation of various transaction documents.
