Business Combination between Pypo Digital Company Limited (the "Pypo") and Middle Kingdom Alliance Corp. (the "Middle Kingdom", OTC BB: MKGD.OB)

Han Kun represented Pypo, a leading mobile phone wholesaler, in its business combination with Middle Kingdom, a special purpose acquisition company listed at OTC BB in the US. Han Kun primarily assisted in structuring the deal combination, preparing the transaction documents and reviewing the Form S-4 Registration Statement filings with SEC. Han Kun also issued the PRC legal opinions for the combination deal. The Form S-4 Registration Statement filing with SEC became effective on May 14, 2009.
