Mr. Peilun Song has worked at several prestigious law firms, including King & Wood Mallesons, AnJie Broad Law Firm, Merits & Tree Law Offices, Tian Yuan Law Firm LLP, and Commerce & Finance Law Offices. His practice areas encompass overseas capital markets, investment and M&A, cross-border transactions, and offshore debt capital markets.
In the overseas capital markets space, Mr. Song has represented joint sponsors and underwriters in multiple Hong Kong Stock Exchange Main Board initial public offerings, assisting in the submission of A1 application forms, verification of prospectus disclosures, and preparation of responses to regulatory inquiries. He has also participated in drafting and revising transaction documents, including joint global coordinator engagement agreements and confidentiality agreements. In the debt capital markets, he assisted in a Yulan Bond issuance project for a bank, contributing to the drafting of the bond offering circular, finalization of transaction documents, and preparation of listing application materials.
In the investment and M&A field, Mr. Song has conducted legal due diligence, evaluating risks related to equity structures, intellectual property, and material contracts. He has drafted share transfer agreements, procurement contracts, and labour and personnel management policies, and assisted with company incorporation, change of registration, and industrial and commercial filing matters. In addition, he has conducted legal research on cross-border investment issues involving jurisdictions such as Mexico and Pakistan, and provided analytical support on legal and regulatory policies affecting the biopharmaceutical industry.
